Terms of Service
1. Acceptance of Terms
By accessing or using the VENDAQ platform (the "Service"), operated by VENDAQ SpA ("VENDAQ," "we," or "our"), you agree to be bound by these Terms of Service. If you do not agree to any part of these terms, you may not access the Service.
VENDAQ SpA, Chilean Tax ID (RUT) 78.368.957-K, registered at Pastor Fernández 17100A, Lo Barnechea, Santiago Metropolitan Region, Chile.
These terms constitute a legally binding agreement between you (the "User" or "Customer") and VENDAQ. By creating an account, clicking "I Agree," or using the Service in any way, you confirm that you have read, understood, and accepted these terms.
2. Description of Service
VENDAQ is an AI-powered customer service platform designed for businesses and e-commerce companies in Latin America. The Service enables you to automate conversations with your end customers across multiple messaging channels, manage inquiries, process orders, and improve the customer experience.
The Service includes, but is not limited to:
- Conversational AI agent that understands text, voice, and images
- Integration with messaging channels (WhatsApp, Instagram, web widget)
- Administration dashboard, analytics, and reports
- Integration with e-commerce platforms (Shopify, WooCommerce, VTEX, Mercado Libre, and others)
- Smart escalation to human agents via the VENDAQ Link mobile app
- Knowledge base and AI agent training tools
- Developer API
3. Account Registration
To use the Service, you must create an account by providing truthful, complete, and up-to-date information. You are responsible for:
- Maintaining the confidentiality of your account credentials
- All activities that occur under your account
- Notifying VENDAQ immediately of any unauthorized use
Each account corresponds to one organization (tenant). You may invite multiple users to your organization with different roles and permissions. We reserve the right to suspend or cancel accounts that contain false information or violate these terms.
4. User Obligations
By using the Service, you agree to:
- Not use the Service for illegal or unauthorized purposes
- Not transmit abusive, defamatory, obscene, or fraudulent content through the AI agent
- Provide accurate and up-to-date information to your customers through the agent
- Comply with all applicable laws and regulations, including data protection rules and WhatsApp/Meta policies
- Not attempt to access systems, data, or conversations belonging to other users
- Not reverse engineer, decompile, or disassemble the Service
- Supervise and validate the AI agent's behavior with your customers
- Respect the usage limits established in your subscription plan

5. Payments and Billing
Free trial: All new plans include a 14-day free trial. No credit card is required to start. At the end of the trial period, you must select a paid plan to continue using the Service.
Plans and pricing: Current pricing is published on our pricing page. Prices are listed in US dollars (USD) and do not include applicable taxes (VAT or otherwise).
Billing cycle: Billing is monthly or annual depending on your selected plan. Charges are made in advance at the beginning of each billing cycle.
Payment method: We accept credit and debit cards processed through Stripe. It is your responsibility to maintain a valid and up-to-date payment method.
Refunds: If you are not satisfied with the Service within the first 30 days of your first payment, you may request a full refund. After this period, no refunds are issued for partial periods.
Price changes: We reserve the right to modify prices with 30 days' prior notice by email. Price changes will apply to the next billing cycle.
6. Data Ownership and Content
Your data is yours. You retain all ownership rights to the data you input into the Service, including customer information, conversations, product catalogs, knowledge base content, and any other content.
VENDAQ does not claim ownership of your data. We are granted a limited license to process your data exclusively for the purpose of providing the Service.
We do not train AI on your data: Your conversations and customer data are NOT used to train artificial intelligence models. Data is processed solely to generate real-time responses through LLM providers that operate under API usage policies (no training).

7. Use of Artificial Intelligence
The Service uses third-party large language models (LLMs) to generate conversational responses. It is important that you understand:
- AI-generated responses are probabilistic and may contain inaccuracies
- You are responsible for properly configuring your agent's rules, guardrails, and tone
- VENDAQ does not guarantee that agent responses will always be correct, complete, or appropriate for your specific use case
- You must regularly monitor your agent's conversations and adjust its configuration as needed
- It is your responsibility to inform your end customers that they are interacting with an AI agent
8. Service Availability
We strive to maintain Service availability with a target uptime of 99.9% per month. However, we do not guarantee uninterrupted availability.
The Service may be temporarily unavailable due to:
- Scheduled maintenance (notified at least 48 hours in advance)
- Urgent security updates
- Force majeure events
- Third-party service failures (WhatsApp, AI providers, cloud infrastructure)
Business plan customers may refer to our Service Level Agreement (SLA) for details on downtime compensation.
9. Third-Party Integrations
The Service integrates with third-party platforms including, but not limited to: WhatsApp (Meta), Instagram (Meta), Shopify, WooCommerce, VTEX, Mercado Libre, and others.
By using these integrations:
- You agree to comply with each third-party platform's terms of service
- VENDAQ is not responsible for changes, outages, or policies of third-party platforms
- Integration availability may vary and is subject to each provider's policies
- If a third-party platform suspends access to its APIs, VENDAQ cannot guarantee the continuity of that integration
10. Intellectual Property
The VENDAQ platform, including its source code, design, brand, logos, and documentation, is the exclusive property of VENDAQ SpA and is protected by Chilean and international intellectual property laws.
You are granted a limited, non-exclusive, non-transferable, and revocable license to use the Service in accordance with these terms and your subscribed plan.
11. Limitation of Liability
To the maximum extent permitted by Chilean law:
- VENDAQ provides the Service "as is" and "as available"
- We do not warrant that AI-generated responses will always be accurate or appropriate
- We are not liable for indirect, incidental, special, or consequential damages
- We are not liable for lost sales, opportunities, or customers resulting from the use of the AI agent
- Our total cumulative liability shall not exceed the amount paid by you during the 12 months preceding the event giving rise to the claim
You are responsible for supervising and validating the AI agent's interactions with your customers and for properly configuring its behavior.
12. Termination
By the User: You may cancel your account at any time from the administration dashboard or by contacting our team. Cancellation will take effect at the end of the current billing cycle.
By VENDAQ: We may suspend or terminate your account with 30 days' prior notice, or immediately if:
- You violate these terms or the Acceptable Use Policy
- You fail to pay fees owed after 15 days past due
- Your actions pose a risk to other users or to the Service
- Fraudulent or abusive use is detected
Data export: After termination, you will have a 30-day period to export your data via the administration dashboard or by requesting it by email. After this period, data will be deleted in accordance with our Privacy Policy.
13. Modifications to Terms
We may modify these terms at any time. We will notify you of material changes at least 30 days in advance through:
- Email to the address associated with your account
- A prominent notice in the administration dashboard
Continued use of the Service after the notice period constitutes your acceptance of the modified terms. If you do not agree with the changes, you may cancel your account before they take effect.
14. Governing Law and Jurisdiction
These terms are governed by the laws of the Republic of Chile. Any disputes shall be submitted to the jurisdiction of the ordinary courts of Santiago, Chile.
Before initiating any legal action, both parties agree to attempt to resolve any dispute in good faith through direct negotiation for a period of 30 days. Dispute-related communications should be directed to [email protected].
